These Terms govern your use of DearReach, operated by [LEGAL ENTITY NAME] ("DearReach", "we"). By creating an account or using the service, you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it.
1. The service
DearReach is a deliverability-first email platform: a writing environment plus a delivery system with immutable audiences, suppression enforcement, reputation protection, and auditable delivery. We may improve, change, or discontinue features and will give reasonable notice of material adverse changes.
2. Your account
You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. You must be at least 18 and legally able to enter a contract.
3. Acceptable use, permission-based sending
DearReach is strictly for permission-based email. You agree that you will:
- Only email people who have given you a lawful basis to contact them (for example, opt-in consent), and be able to evidence it.
- Never upload purchased, scraped, rented, or harvested lists.
- Honour unsubscribes promptly. The platform enforces one-click unsubscribe and suppression automatically, and you must not circumvent it.
- Include accurate sender identity and a valid postal address, as anti-spam laws (e.g. CAN-SPAM, GDPR/PECR, CASL) require.
- Not send unlawful, deceptive, hateful, or infringing content, malware, or phishing, and not harm deliverability for others.
We may suppress, pause, throttle, or terminate sending that threatens our platform reputation, violates these Terms, or generates excessive bounces or complaints. Deliverability is a shared resource and we protect it actively.
4. What DearReach is not
The platform is deliberately focused. It is not a transactional-email API, an SMS service, a CRM, or an automation builder, and must not be used to bypass its permission and suppression controls.
5. Plans, billing, and fair use
Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. Prices and monthly send allowances are shown at checkout and in the app; subscribers are unlimited on paid plans. Fees are non-refundable except where required by law. Exceeding your send allowance may pause sending until you upgrade. You can cancel any time from the billing portal; cancellation takes effect at the end of the current period and your plan reverts to the free tier.
6. Your content and data
You retain ownership of your campaigns, subscriber lists, and content. You grant us the limited licence needed to host, process, render, and deliver them. You are the controller of your subscriber data and responsible for its lawful collection and use; our handling of it is governed by our Privacy Policy.
7. Availability
We aim for high availability but do not guarantee uninterrupted service. Delivery is processed on an at-least-once basis; we do not promise exactly-once delivery, and third-party mailbox providers ultimately control inbox placement.
8. Suspension and termination
You may close your account any time; deletion follows the recovery window in our Privacy Policy. We may suspend or terminate accounts that breach these Terms, create legal or security risk, or fail to pay. Suppression hashes and records we must retain by law survive termination.
9. Disclaimers
The service is provided "as is" and "as available" to the fullest extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and do not warrant specific inbox placement, open rates, or deliverability outcomes.
10. Limitation of liability
To the maximum extent permitted by law, DearReach will not be liable for indirect, incidental, special, or consequential damages, or lost profits or data. Our total liability will not exceed the amount you paid us in the [12] months before the claim. [Confirm cap and carve-outs with counsel.]
11. Indemnity
You will indemnify DearReach against claims arising from your content, your email sending, your lists, or your breach of these Terms or applicable law.
